Use of this site constitutes acceptance of these terms. If you do not agree, do not use the site or submit information through it.

Okanna is an Oklahoma compliance and tax filing services firm for cannabis operators. We are a service provider, not a referral service. We track and prepare the filings that keep Oklahoma operators licensed — OMMA, OBNDD, DEA, state and excise tax — and coordinate with the accountants and attorneys our clients already use.

The services we provide may include, depending on the scope of your engagement: maintaining a calendar of your applicable regulatory filings; preparing draft filings for your review and signature; submitting filings to the appropriate agency on your behalf; tracking submission status and responding to non-substantive agency correspondence; assembling supporting documentation; and coordinating handoffs to your accountant, attorney, or other professionals when their work product is required.

Where you ask us to coordinate with your own accountant or attorney, we do so as your service provider — we do not select, retain, supervise, or pay those professionals on your behalf. Their work is governed by their own engagement with you.

We do not provide legal advice, file court pleadings, represent you before any agency in a contested proceeding, or render formal tax opinions. If the work in front of you requires any of those things, we will say so and you should retain appropriate counsel.

Okanna is not a law firm and does not provide legal advice. No attorney-client relationship is created by your use of this site, by your submission of an intake or contact form, or by any communication with Okanna personnel.

Services from Okanna are delivered under a written engagement letter or services agreement between you and Okanna. That agreement, not these terms, governs the scope, fees, deliverables, and obligations of any engagement.

Okanna does not provide legal advice. Where your matter involves legal questions, you should engage your own attorney; Okanna is happy to coordinate with counsel you already use.

Filings rest on information only you can supply: license numbers, ownership and control structure, financial figures, operational facts, and signatures. You are responsible for the completeness and accuracy of the information you give us and for reviewing and signing each filing before submission.

We will request the information we need on the timeline our calendar requires. If we do not receive what we have requested in time to prepare and submit a filing before its deadline, we will tell you, and the filing may not be submitted on time. Okanna is not responsible for missed deadlines caused by information we requested and did not receive.

Fees, billing schedule, and payment terms for any engagement are set out in the engagement letter or services agreement between you and Okanna. Government filing fees, agency assessments, and similar third-party costs are your obligation and are not included in our fees unless the engagement letter expressly says so.

Either party may terminate an engagement on written notice in accordance with the engagement letter. On termination, we will deliver back to you the records and work product we hold for you in a reasonably useful form and complete a clean handoff. Fees earned through the termination date remain payable.

Where you have asked Okanna to coordinate with your own accountant or attorney, those professionals exercise independent professional judgment in accordance with the rules applicable to their license. Okanna does not direct, control, or interfere with that judgment.

This site and the services offered through it are intended for licensed cannabis operators in Oklahoma and their authorized representatives. By submitting information through the site, you represent that you are an authorized representative of the entity on whose behalf you are inquiring.

You agree to provide accurate information. You agree not to use this site to transmit unlawful content, attempt unauthorized access to systems, or misrepresent your identity or business status.

All content on this site — including copy, design, and structure — is the property of Okanna and may not be reproduced, distributed, or used to train machine learning models without written permission. Okanna's filing-management methodology, internal tooling, templates, and workflows are proprietary. Nothing in these terms transfers ownership of those materials to you. Work product prepared specifically for you under an engagement is yours, subject to the terms of the engagement letter.

Information you submit through this site and share with Okanna personnel is treated as confidential by Okanna and by every staff member with access to it. Confidentiality obligations bind all Okanna personnel by written agreement.

This site is provided "as is" without warranties of any kind. We do not warrant that the site will be error-free or uninterrupted, or that any specific outcome will result from any engagement. We disclaim all implied warranties to the fullest extent permitted by applicable law.

We do not guarantee approval of any filing, registration, license, or permit. Agency decisions are made by the agency, on its own timeline and at its own discretion, and are not within our control.

To the fullest extent permitted by law, Okanna and its officers, members, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of this site or our services, including any business interruption, lost profits, or loss of license arising from a delayed or rejected filing.

For claims arising from your use of the site (where no engagement letter is in effect), Okanna's total aggregate liability shall not exceed one hundred dollars ($100). For claims arising from a paid engagement, Okanna's total aggregate liability shall not exceed the fees paid to Okanna for the specific engagement giving rise to the claim in the twelve months preceding the claim, except as the engagement letter otherwise provides.

Cannabis remains a controlled substance under the Controlled Substances Act as of the date these terms were last updated. Federal scheduling and regulatory posture toward cannabis are subject to change. Nothing on this site constitutes a guarantee regarding the outcome of any regulatory application or filing. Regulatory and legal obligations remain your responsibility; we recommend working with your own counsel on legal questions.

These terms are governed by the laws of the State of Oklahoma. Disputes arising from use of this site or services provided by Okanna shall be resolved in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the personal jurisdiction of those courts.

We may update these terms at any time. Continued use of the site after changes are posted constitutes acceptance. The "Last updated" date at the top reflects when changes were last made.
